Senzing Web Inspector Evaluation Terms of Service

Please read these Evaluation Terms of Service (these "Terms") carefully. These Terms are a binding agreement between you (and the entity you represent) and Senzing, Inc. ("Senzing," "we," "us," or "our") and govern your access to and use of the Senzing Web Inspector, a hosted, read-only evaluation application (the "Service"). By clicking "I agree," by creating an account, or by accessing or using the Service, you accept these Terms and represent that you are at least 18 years old and, if you are using the Service on behalf of an entity, that you have authority to bind that entity. If you do not agree, do not create an account or use the Service.

1. The Service; evaluation purpose

The Service is an example interface that illustrates what can be built on a Senzing SDK integration. Although it runs on the Senzing SDK, the reports and interface are custom examples and are not a Senzing product. The Service is read-only: it lets you search, inspect, and visualize entity-resolution results already resolved in Senzing, and it does not load, map, or change your data. The Service is provided solely for your internal evaluation and demonstration of Senzing's software, and not for any production, operational, or business-critical use. The data shown in the Service consists of the synthetic Senzing Truthset and publicly available sample data (including the Senzing CORD dataset).

The Service is provided free of charge for evaluation. In exchange, you agree that Senzing may contact you about its products and services using the details you provide when you register. This is a condition of access to the Service. You may unsubscribe from marketing communications at any time, as described in the Privacy Notice; if you do not wish to be contacted, do not create an account or use the Service.

2. Eligibility and accounts

You must create an account to access the Service, and account access is provided through our third-party authentication provider. You agree to provide accurate registration information, to keep it current, and to be responsible for activity that occurs under your account. You must promptly notify us of any unauthorized use of your account.

3. Evaluation license

Subject to these Terms, Senzing grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service during the evaluation period for your internal evaluation purposes only. Senzing may modify, suspend, limit, or discontinue the Service, in whole or in part, at any time. All rights not expressly granted are reserved.

4. Acceptable use and restrictions

You shall not, and shall not permit any third party to:

(a) use the Service for any production, operational, or commercial purpose, or in reliance on its outputs for any decision affecting any individual or entity;

(b) copy, modify, create derivative works of, distribute, sell, rent, lease, or otherwise commercially exploit the Service or its contents;

(c) reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;

(d) access or use the Service to build or benchmark a competitive product or service, or for any competitive analysis;

(e) scrape, harvest, or use automated means to extract data from the Service, or exceed any rate or usage limits;

(f) attempt to re-identify, contact, or take any action affecting any individual whose personal information appears in the demonstration data, or otherwise misuse that data;

(g) circumvent or interfere with any security, authentication, or access-control feature of the Service, or use the Service in violation of any applicable law.

5. No confidential or sensitive data

The Service is not intended for the input of your own data. You must not enter into the Service (including into any search field) any confidential, proprietary, personal, sensitive, or regulated data, or any information you are not authorized to disclose. You are solely responsible for any information you enter.

6. Privacy

Our processing of personal information in connection with the Service is described in the Senzing Web Inspector Privacy Notice, which is incorporated into these Terms by reference.

7. Feedback

If you provide us any feedback or suggestions regarding the Service ("Feedback"), you assign to us all rights in the Feedback and agree that we may use and fully exploit it for any purpose without restriction or compensation. We will treat Feedback as non-confidential and non-proprietary, and you agree not to submit any information you consider confidential or proprietary.

8. Intellectual property

As between you and Senzing, Senzing and its licensors own all right, title, and interest in and to the Service and its content, including all intellectual property rights therein. These Terms grant you no rights in Senzing's trademarks, logos, or service marks, including "SENZING," and no right to use them without our prior written consent.

9. Demonstration data; no reliance

You acknowledge and agree that:

(a) the data shown in the Service is provided "as is" and consists of out-of-date snapshots intended for evaluation only and not for any operational use;

(b) entity resolution is probabilistic and, whether performed by a human or an algorithm, under-matching (false negatives) and over-matching (false positives) occur; and

(c) you will not rely on the Service or its outputs for any purpose, and Senzing has no responsibility for any decision or action taken in reliance on them.

10. Third-party data disclaimer

Senzing makes no warranty that any data provided by third parties will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Such data is provided "as is" and "with all faults," without representations, warranties, or guarantees of any kind, and Senzing has no duty to investigate, verify, or confirm its accuracy, completeness, quality, reliability, currentness, adequacy, or legality.

11. Disclaimer of warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND SENZING AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SENZING OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS OR DATA, ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY, SENZING'S TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED FIFTY U.S. DOLLARS ($50). BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE FOR EVALUATION, THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN.

13. Suspension and termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice or liability, including for any violation of these Terms. Upon termination, your right to access and use the Service ceases immediately. Sections 5 through 17 survive termination.

14. Changes to these Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by updating the date above or by other reasonable means, and, where appropriate, will ask you to accept the revised Terms. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to applicable law, each party consents to the non-exclusive jurisdiction of the Delaware courts. To the extent permitted by law, each party waives any right to a jury trial and agrees that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any class or representative action.

16. Export controls

The Service may be subject to U.S. export control laws. You agree not to export, re-export, or transfer, directly or indirectly, any part of the Service or related technical data in violation of applicable export laws and regulations, and you represent that you are not located in, and will not use the Service in, any embargoed or restricted jurisdiction.

17. General

These Terms, together with the Senzing Web Inspector Privacy Notice, are the entire agreement between you and Senzing regarding the Service and supersede all prior understandings regarding the Service. You may not assign these Terms without our prior written consent; we may assign them freely. Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.
